Prudential Financial agrees $4bn sale of its Brazilian and Mexican units to CNP Assurances

Prudential Financial has signed agreements to sell Prudential of Brazil and Prudential of Mexico to France's CNP Assurances for $4.025bn in cash, subject to closing adjustments. The deal, disclosed on 20 October, needs regulatory approval and is expected to close in the second half of 2027. Prudential presents it as part of its plan to exit emerging markets.

US life insurer Prudential Financial disclosed the agreements in a filing with the US Securities and Exchange Commission on 20 October. CNP Seguradora, the Brazilian subsidiary of CNP Assurances, will buy the Brazilian business, and CNP Assurances Holding will buy the Mexican one. The combined price is $4.025bn in cash, before closing adjustments.

Prudential expects the transaction to close in the second half of 2027, subject to customary conditions that include regulatory approvals. It says it will use the proceeds for its capital allocation priorities and to grow its retirement, asset management and selected protection businesses in the US, Japan and some European markets.

The sale extends a series of disposals that Prudential links to its plan to exit emerging markets. It has already announced sales of its stakes in PT PFI Mega Life in Indonesia, Alexforbes in South Africa and ICEA LION in Kenya; the Kenyan sale closed on 13 October. Chairman and chief executive Andy Sullivan said the group remains focused on "narrowing our geographic footprint" and becoming simpler.

For the buyer, CNP Assurances chief executive Marie-Aude Thépaut called the purchase "a major step forward" in the group's development in Latin America, citing the capabilities of the two businesses, their Life Planner network and their customer relationships.
